Merchant Terms of Service

Beta Phase Operating Agreement. Last updated: August 9, 2026. Please read these terms carefully before connecting your store.

1. Platform Overview & Software Services

ForToi operates solely as a software provider and menu communication channel: we are not a food provider, caterer, restaurant, delivery service, or merchant of record. All commercial sales occur directly between you and your customers, and you maintain complete ownership over your food preparation, menu pricing, store operations, counter service, and order fulfillment.

2. Beta Program & Service Availability

ForToi is currently provided in an early-access beta phase with 0% platform commission fees. We work hard to maintain high reliability, but the platform is provided on an "as is" and "as available" basis without uptime warranties or service level agreements (SLAs). Features and service access may be updated, scheduled for maintenance, or temporarily paused as we improve the software.

3. Payment Processing & Dispute Handling

Payments are processed directly through your connected Stripe account (Stripe Connect Standard) using direct charges. ForToi never holds, touches, or takes custody of your funds. Standard credit card processing fees are charged directly by Stripe, and any customer chargebacks, refunds, payment disputes, or bank holds remain the direct responsibility of your connected Stripe account.

4. Food Quality, Safety & Dietary Guidelines

Providing safe, fresh food is the cornerstone of great hospitality. As a merchant, you are responsible for maintaining safe food handling, hygiene standards, accurate ingredient descriptions, and allergen disclosures (including cross-contamination risks), in accordance with MAPAQ, Health Canada, and local health guidelines. ForToi is not responsible for food preparation quality, allergic reactions, or health inspection requirements.

5. Sales Taxes & Local POS Receipting

Because ForToi charges a 0% platform fee and does not collect or remit taxes on your behalf, you remain responsible for entering pickup orders into your local Point-of-Sale (POS) or Sales Recording Module (SRM/MEV) register, issuing customer receipts, and collecting and remitting applicable provincial (QST) and federal (GST/HST) sales taxes.

6. Limitation of Liability

To the extent permitted by law, ForToi and its operators are not liable for any lost profits, missed orders, food waste, business disruptions, or indirect damages that may arise from using the platform. In any event, our maximum total liability for any claim related to the service is limited to the greater of $1.00 CAD or the total fees paid by you to ForToi in the preceding three months ($0.00 CAD during the free beta).

7. Mutual Defense & Indemnification

You agree to protect, indemnify, and hold harmless ForToi and its operators against any third-party claims, lawsuits, regulatory penalties, or legal expenses resulting from your restaurant's food items, store operations, customer disputes, tax filings, or breach of these terms.

8. Prohibited Products & Regulated Goods

To keep the platform safe and compliant for everyone, ForToi does not support the sale or pickup of unlawful items, cannabis, THC, CBD, controlled substances, alcoholic beverages (beer, wine, spirits, cocktails), tobacco, vaping products, or any age-restricted goods. Stores listing prohibited items are subject to immediate review and account suspension.

9. Account Management & Governing Law

You are welcome to close your account at any time without penalty. ForToi also reserves the right to pause or close store accounts that violate our policies or community standards. These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, under the jurisdiction of the judicial district of Montreal.
